Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") are a legal agreement between you and Levos AI, Inc. ("Levos," "we," "us," or "our") governing your access to and use of the Levos website at levos.ai and the Levos workforce intelligence platform (collectively, the "Services").

By accessing or using the Services, you confirm that you are at least 18 years old, have the authority to enter into these Terms on behalf of yourself or your organization, and agree to be bound by these Terms and our Privacy Policy.

2. Description of Services

Levos provides an enterprise workforce intelligence platform that collects and analyzes behavioral metadata from connected workplace tools to generate workforce productivity insights, measure AI adoption, and support human capital decision-making.

Access to the platform is subject to a separate enterprise service agreement between Levos and your organization. These Terms apply to all visitors to levos.ai and all users of the platform.

3. Account Registration

To access certain features of the Services, you may be required to create an account. You agree to:

• Provide accurate, complete, and current information during registration

• Maintain the security of your account credentials

• Notify us immediately of any unauthorized use of your account

• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to:

• Use the Services in violation of any applicable law or regulation

• Reverse-engineer, decompile, or disassemble any part of the Services

• Attempt to gain unauthorized access to any part of the Services or related systems

• Use the Services to transmit spam, malware, or malicious code

• Resell, sublicense, or otherwise commercialize the Services without our written consent

• Use the Services to discriminate against employees or make unlawful employment decisions

• Interfere with or disrupt the integrity or performance of the Services

5. Intellectual Property

All content, technology, software, trademarks, and intellectual property on or accessible through the Services are owned by Levos or its licensors. These Terms do not grant you any rights to use Levos trademarks, logos, or brand elements without prior written consent.

You retain ownership of any data your organization provides to Levos. You grant Levos a limited license to process that data for the purpose of providing the Services as described in your enterprise agreement and our Privacy Policy.

6. Privacy

Your use of the Services is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the data practices described in the Privacy Policy.

7. Third-Party Services

The Services may integrate with or link to third-party services (e.g., workplace tools, collaboration platforms). Levos is not responsible for the practices or content of these third-party services. Your use of such services is governed by their respective terms.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. LEVOS EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

LEVOS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, LEVOS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL LEVOS'S AGGREGATE LIABILITY EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT PAID BY YOU TO LEVOS IN THE TWELVE MONTHS PRIOR TO THE CLAIM.

10. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. Upon termination, all licenses granted to you under these Terms will immediately cease.

You may stop using the Services at any time. Termination of enterprise agreements is governed by your organization's service contract with Levos.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.

12. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date and, where appropriate, notifying enterprise customers directly. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
